    （ ）(外方)提供的原材料的品质、数量以目的港中国 进出口 商品检验局出具的检验证明为最后依据。如所交货物品质或重量与合同不符，除运输或保险部门责任外，（ ）(中方)有权向(外方)提出索赔，（ ）(外方)负责赔偿（ ）(中方)因此造成的损失。

    10.不可抗力：

    如由于不可抗力的原因致使一方不能交货或延迟交货，该方不负责任。但是该方必须在（ ）天内以电报或电传 通知 另一方，并向另一方提交政府部门或商会出具的证明发生此类事故的有效证明书。

    11.仲裁：

    凡因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好协商解决；如果协商不能解决，应提交 北京 中国国际贸易促进委员会对外经济贸易仲裁委员会，根据该会的仲裁程序暂行规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。

    5.Inspection
　　The Certificate of Quality and Quantity(Weight) for material issued by The China import and Export Commodity Inspection Bureau at the port of destination is final. Should the quality, quantity(weight)of the material be found not in conformity with what of the contract,____(China Party)are entitled to lodge claims against ____(Foreign Party),with the exception of that claims for which the shipping company or the insurance company are liable, ____(Foreign Party)shall be responsible for compensation of (China Partys) losses.

　　10.Force Majeure
　　A Party shall not be held responsible for late delivery or non-delivery of the goods owing to the "Force Majeure" causes. However in such case, a party shall telegraph or telex the other Party immediately and deliver in days to the other Party certificate of the occurrence issued by the Government Authorities or the Chamber of Commerce as evidence thereof.
　　11.Arbitration
　　All disputes arising from execution of, or in connection with this contract, shall be settled through friendly negotiation. In case no settlement can be reached through negotiation, the case shall then be summitted to the Foreign Economic and Trade Arbitration Commission of the China Council for the Promotion of International Trade, Beijing for arbitration in accordance with its Provisonal Rules of Procedure. The arbitral award is final and binding upon both parties.
